Subscription Agreement and Terms of Use

Version 1.0 · effective 2026-09-20

Read this part first

The full agreement is below and all of it applies. These are the points that matter most, in plain language.

  • This software helps you calculate. It does not decide anything for you. Every size, every deduction, every rate and every total is yours to check before you use it.
  • We do not guarantee that any figure produced is correct for your sections, your fabrication method or your job. You set the deductions; the software applies the arithmetic you asked for.
  • If a figure is wrong, whether because of something you entered, something you imported, or a fault in the software, the loss is yours and not ours.
  • We are not liable for lost profit, wasted material, rejected work, delay, or any other knock-on loss from a job you quoted or fabricated using this software.
  • Our total liability to you, for anything at all, is limited to the subscription fees you paid us in the three months before the claim.
  • Subscription fees are not refundable.
  • Cross-check every quotation and every cut list against your own working before you issue it to a client or send it to the shop floor.

1. The agreement and the parties

1.1 This Subscription Agreement and Terms of Use (the Agreement) governs your access to and use of the Mullions Quotation Studio software, the website at mullions.in, and every related service we provide (together, the Service).

1.2 The Agreement is between the business that subscribes (you, your, the Subscriber) and the proprietor operating under the name Mullions (we, us, our, the Provider).

1.3 By ticking the acceptance box, by creating an account, or by using the Service in any way, you confirm that you have read this Agreement, that you understand it, and that you accept it in full on behalf of the business you represent.

1.4 You confirm that you are at least 18 years of age and that you are authorised to enter into this Agreement on behalf of that business. If you are not so authorised, you must not use the Service.

1.5 If you do not accept this Agreement, you must not use the Service. There is no partial acceptance.

1.6 This Agreement is recorded against your account together with the version number, the date and time of acceptance, and the account that accepted it.

2. What the Service is

2.1 The Service is a calculation and record-keeping tool for aluminium door, window and facade fabricators. It accepts dimensions, profile sections, deduction values, glass and mesh specifications, rates and other information that you supply, applies arithmetic to them, and produces quotations, cutting lists, elevation drawings and related documents.

2.2 The Service is a tool. It is not a design service, not an engineering service, not a structural assessment, not a code-compliance check, and not professional advice of any kind.

2.3 The Service does not verify that a product you specify is suitable, safe, buildable, compliant with any standard or building regulation, or fit for the opening or climate it is intended for. Those judgements are yours and remain yours.

2.4 Every document the Service produces is your document, issued by you to your client under your name. We are not a party to any quotation, order, contract or dealing between you and your client, and we take no responsibility for it.

2.5 Nothing in the Service constitutes a recommendation of any profile system, supplier, brand, glass type, hardware item or fabrication method.

3. Accuracy of values, and your duty to check

3.1 All output of the Service is derived from values that you enter, import, select or leave at their default. The Service applies arithmetic to those values. It has no means of knowing whether they are correct.

3.2 You are solely responsible for the accuracy, completeness and suitability of everything you put into the Service. This includes, without limitation: dimensions and sizes; profile sections and their properties; every deduction value, including frame to glass, frame to shutter, shutter to glass, interlock overlap and mesh clearances; glass and mesh specifications; hardware and accessory lists; rates, prices, margins, wastage allowances and tax figures; and any data imported from a spreadsheet or supplied by a third party.

3.3 Deduction values vary between profile systems, between fabricators, and between product types within a single system. They depend on your sections, your tooling, your assembly method and your tolerances. We do not supply them, we do not verify them, and we cannot know what yours should be.

3.4 YOU MUST INDEPENDENTLY CROSS-CHECK EVERY FIGURE PRODUCED BY THE SERVICE BEFORE YOU RELY ON IT. This applies in particular to cutting sizes, glass sizes, mesh sizes, quantities, areas, rates and totals, and applies before you issue a quotation to a client, before you place a material order, and before you release any cut list to fabrication.

3.5 Before fabricating in quantity, you should produce and verify a physical sample or a first-off piece against the figures the Service has given you.

3.6 If a figure produced by the Service is different from what you expected, or different from what you entered, or different from a figure produced on another occasion, you must stop and satisfy yourself which is correct before proceeding. Do not assume the Service is right.

3.7 We are not responsible for any value being different from what you intended, whatever the cause, including where the difference arises from a mistake you made, a value you imported, a default you did not change, a misunderstanding of what a field means, or a fault, defect or error in the Service itself.

3.8 We are not responsible for any consequence of a figure being wrong, whether or not the error was capable of being detected.

4. Imported and third-party data

4.1 The Service allows you to import profile sections, deduction values and related data from spreadsheet files.

4.2 We do not check, validate, correct or endorse imported data. It is used exactly as supplied.

4.3 Where you import data originating from a system supplier, extruder, brand or any other third party, you remain responsible for verifying it. The fact that data came from a manufacturer does not make it correct for your fabrication.

4.4 We have no relationship with, and no endorsement from, any profile system supplier, extruder or brand unless we have said so expressly and in writing. The ability to enter or import a particular system does not imply any association with its owner.

4.5 You are responsible for ensuring you have the right to use and upload any data you put into the Service.

5. Drawings and documents produced

5.1 Elevation drawings, plan views, section views and similar graphics produced by the Service are diagrammatic representations generated from the dimensions you entered. They are provided to assist communication.

5.2 They are not construction drawings, not shop drawings, not to any guaranteed scale, and must not be used for fabrication, setting out, structural purposes or approval submission without independent checking by a competent person.

5.3 Quotation documents, cutting lists and fabrication sheets are working documents for your business. You are responsible for their content, their accuracy and the use to which they are put.

5.4 Any figure the Service shows as a total, sub-total, area or tax amount is a calculated convenience. You must verify it before you present it as a price to any client.

6. The Service is provided as is

6.1 The Service is provided on an as is and as available basis.

6.2 To the fullest extent permitted by law, we exclude all warranties, conditions, representations and terms of any kind, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.

6.3 We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from defect, nor that any defect will be corrected, nor that the Service will meet your requirements.

6.4 We do not warrant that any calculation, drawing, cut size, area, quantity, rate or total produced by the Service is accurate, complete or suitable for any purpose.

6.5 No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in this Agreement.

7. Limitation of liability

7.1 This section limits what you can recover from us. Read it carefully.

7.2 To the fullest extent permitted by law, we shall not be liable to you for any indirect, incidental, special, consequential, punitive or exemplary loss or damage of any kind.

7.3 Without limiting the generality of clause 7.2, we shall not be liable for: loss of profit, revenue, business, contracts, opportunity or anticipated savings; the cost of material wasted, cut incorrectly, ordered in error or rendered unusable; the cost of remaking, reworking, refitting or replacing any product; work rejected by your client or by any inspecting authority; liquidated damages, penalties or compensation you become liable to pay to any third party; delay to any project; loss of goodwill or reputation; or loss of or corruption of data.

7.4 The exclusions in clauses 7.2 and 7.3 apply whether the loss arises in contract, tort including negligence, breach of statutory duty, misrepresentation, restitution or otherwise, and whether or not we were advised of the possibility of such loss.

7.5 Subject to clause 7.6, our total aggregate liability to you arising out of or in connection with this Agreement and the Service, taken together across all claims, shall not exceed the total subscription fees actually paid by you to us in the three months immediately preceding the event giving rise to the claim.

7.6 Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

7.7 You acknowledge that the subscription fee is set on the basis of the allocation of risk in this section, that the fee would be materially higher without it, and that the limitation is reasonable in those circumstances.

7.8 Any claim under this Agreement must be brought within twelve months of the date on which you first became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.

8. Your indemnity to us

8.1 You shall indemnify us, and keep us indemnified, against all claims, demands, proceedings, losses, damages, liabilities, costs and expenses, including reasonable legal costs, arising out of or in connection with: any quotation, cut list, drawing, price or specification you issued, whether or not produced using the Service; any claim brought against us by your client, your supplier, your contractor or any other third party in connection with work you carried out; your breach of this Agreement; your misuse of the Service; and any data you entered, imported or uploaded.

9. Subscription, plan rules and usage limits

9.1 Access to the Service is by subscription. Your plan, its price, its term and the limits that apply to it are those set out on the Subscription page within the Service and on mullions.in at the time you subscribe.

9.2 Rules and limits apply according to the plan you are on. These may include, without limitation, limits on the number of active projects, the number of documents that may be printed or exported in a period, the number of concurrent sign-ins, and which features are available.

9.3 A subscription is for one login. One person may be signed in at a time. If more than one person needs to work simultaneously, a further subscription is required. Sharing a single login between people is a breach of this Agreement and will sign users out of one another.

9.4 We may vary plan limits, features and prices. Where a change is to your material disadvantage we will give reasonable notice, and it will take effect at your next renewal rather than during a term you have already paid for.

9.5 Where a free period, trial, promotional rate, referral credit or complimentary extension is granted, it is granted at our discretion, on the terms stated when it is offered, and may be withdrawn if those terms are not met or if we reasonably believe the arrangement is being abused.

9.6 Creating multiple accounts in order to obtain repeated free periods, referral credits or trials is a breach of this Agreement. We may withdraw any benefit so obtained, merge or close the accounts concerned, and require payment for the period of use.

9.7 Where your subscription lapses or is not renewed, access becomes restricted in accordance with the plan rules in force at that time. Restriction may include, without limitation, the inability to create new records, to edit existing records beyond a stated number, to print or export, or to print without a watermark.

9.8 Your saved records are not deleted merely because a subscription lapses, but we do not undertake to retain them indefinitely, and clause 13 applies.

10. Fees, tax and refunds

10.1 Fees are payable in advance, in the currency selected for your account. The price applicable to each currency is the price stated for that currency; amounts are not converted between currencies and no exchange rate is applied.

10.2 The fee shown excludes tax. Goods and Services Tax, or the equivalent tax in your jurisdiction, is added where applicable and appears on your invoice.

10.3 Where you supply a GSTIN, it is your responsibility to ensure it is correct and that it belongs to the entity being billed. Tax treatment, including the determination of intra-state, inter-state or export supply, is derived from the details you provide.

10.4 SUBSCRIPTION FEES ARE NON-REFUNDABLE. No refund, credit or pro-rata adjustment is given for a period not used, for early cancellation, for a lapse in access, for dissatisfaction with the Service, or for downtime.

10.5 Where an annual term includes complimentary additional months, those months carry no monetary value and are not refundable or exchangeable.

10.6 If a payment fails or is reversed, we may suspend access until the amount is settled.

10.7 You are responsible for any bank charge, card fee, currency conversion cost or local tax imposed by anyone other than us.

11. Your account and security

11.1 You are responsible for everything done through your account.

11.2 You must keep your sign-in details confidential and must not share them. You must tell us promptly if you believe your account has been accessed without your authority.

11.3 You must give accurate registration details and keep them current. We may suspend an account whose details we reasonably believe to be false.

11.4 We may require verification of your identity or your business before granting or continuing access.

12. Acceptable use

12.1 You must not: use the Service in breach of any law; resell, sublicense, rent or otherwise make the Service available to any third party as a service of your own; copy, reproduce, reverse engineer, decompile or attempt to derive the source code or underlying logic of the Service; use any automated means to access, scrape or extract data from the Service; circumvent or attempt to circumvent any limit, restriction, watermark or access control; interfere with the operation, integrity or security of the Service; upload anything malicious, unlawful or infringing; or use the Service to develop, or to assist anyone in developing, a competing product.

12.2 You must not present the Service, or its output, as the product of any third party, nor imply any association between us and any profile system supplier, brand or extruder.

13. Your data

13.1 The data you enter remains yours. We claim no ownership of your projects, your client details, your sections or your rates.

13.2 You grant us the limited right to store, process, transmit and display that data solely to operate the Service for you, to provide support, and to meet our legal obligations.

13.3 Each subscriber account is separated from every other at the database level.

13.4 We take reasonable technical measures to protect your data, but no system is perfectly secure and we do not guarantee that data cannot be lost, corrupted or accessed without authority.

13.5 YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN RECORDS. Do not rely on the Service as your only copy of anything you cannot afford to lose. Where export is available on your plan, use it regularly.

13.6 We may retain data after an account ends, for a period, in order to allow reactivation and to meet legal and accounting obligations. We may permanently delete data belonging to a closed or long-dormant account.

13.7 We may use anonymous, aggregated usage information, from which no subscriber or client can be identified, to improve the Service.

14. Intellectual property

14.1 The Service, including its software, design, structure, calculation logic, drawings engine, text, layout and branding, is and remains our property, and is protected by copyright and other rights.

14.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for the internal business purposes of the subscribing business, for as long as your subscription is current and you are in compliance with this Agreement.

14.3 No other right is granted. In particular, nothing in this Agreement transfers ownership of anything, and nothing permits you to build a derivative or competing product.

14.4 Documents the Service produces from your data are yours to use in your business as you see fit.

14.5 You may not remove, obscure or alter any mark, notice or watermark applied by the Service.

15. Availability, changes and support

15.1 We aim to keep the Service available but do not guarantee any level of availability. Access may be interrupted for maintenance, for upgrades, or for reasons outside our control.

15.2 We may add, change, restrict or withdraw any feature at any time. We may change how a calculation is presented or performed in order to correct or improve it, and such a change may alter figures produced after the change.

15.3 Support is provided on a reasonable-endeavours basis through the contact channels published on mullions.in. No response time is guaranteed unless separately agreed in writing.

15.4 We may discontinue the Service as a whole. If we do, we will give reasonable notice and will not charge for any period after it ends.

16. Third-party services

16.1 The Service relies on independent providers for functions including hosting, data storage, authentication, payment processing and email delivery.

16.2 We are not responsible for the acts, omissions, failures, outages, security incidents or terms of any such provider, and their failure does not make us liable to you beyond the limits in section 7.

16.3 Payments are handled by a payment processor. Your card and bank details are given to that processor and are not held by us.

17. Suspension, blocking and termination

17.1 You may stop using the Service at any time. Your subscription runs to the end of the period already paid for, and clause 10.4 applies.

17.2 We may suspend, restrict or block access to an account, immediately and without refund, where we reasonably believe there has been a breach of this Agreement, non-payment, abuse of a free period or referral arrangement, sharing of a login, a risk to the security or integrity of the Service, or a requirement of law.

17.3 Where we block an account we will record the reason and, save where we are prevented from doing so, make that reason available to the account holder together with a means of contacting us about it.

17.4 We may terminate this Agreement on reasonable notice where you are in material breach and have not remedied it, or immediately where the breach cannot be remedied.

17.5 On termination your licence to use the Service ends immediately. Sections 3, 6, 7, 8, 10.4, 13, 14, 19 and 20 survive termination.

18. Changes to this Agreement

18.1 We may amend this Agreement. When we do, we will raise its version number and publish the amended version.

18.2 Where the change is material you will be asked to accept the new version before continuing to use the Service. Continuing to use the Service after acceptance is your agreement to the amended terms.

18.3 The version in force is the one you last accepted, as recorded against your account, until you accept a later one.

19. Force majeure

19.1 We are not liable for any failure or delay in performance caused by anything beyond our reasonable control, including act of God, fire, flood, storm, epidemic, war, civil unrest, act of government, strike, failure of power or telecommunications, internet or hosting outage, or the failure of any third-party provider.

20. Governing law and jurisdiction

20.1 This Agreement and any dispute arising out of or in connection with it, including any non-contractual dispute, is governed by the laws of India.

20.2 The courts at Gurugram, Haryana, India shall have exclusive jurisdiction, and you submit to that jurisdiction.

20.3 Before commencing proceedings, each party shall make a genuine attempt to resolve the dispute by discussion, on written notice to the other, over a period of not less than thirty days.

21. General

21.1 This Agreement, together with the plan details and any policy referred to in it, is the entire agreement between us and replaces anything said or written before it. You confirm you have not relied on any statement, promise or representation not set out in it.

21.2 If any provision is found to be unenforceable, it shall be modified to the least extent necessary to make it enforceable, or if that is not possible severed, and the rest of the Agreement continues in force.

21.3 A failure or delay by us in enforcing any provision is not a waiver of it.

21.4 You may not assign or transfer this Agreement without our written consent. We may assign it as part of a transfer of the business.

21.5 Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship between us.

21.6 No person who is not a party to this Agreement has any right to enforce it.

21.7 Notices to us may be sent to the contact address published on mullions.in. Notices to you may be sent to the email address held on your account.
